Terms of service

These terms describe how BIG TREE 108 LLC offers software engineering services through this website. They are a public offer: they set out what we propose, and a signed agreement or an accepted proposal is what actually binds either side.

1. Who we are

BIG TREE 108 LLC, a limited liability company registered in Ukraine under registration number 46097404, with its registered office at 18 Sichovykh Striltsiv Street, Ivano-Frankivsk, 76018, Ukraine. Contact: hello@bigtree108.com.

In these terms, "we" and "us" mean that company, and "you" means the client.

2. Our registered companies

The group operates two Ukrainian limited liability companies. Both are listed in the state register of legal entities, and every entry below links to a public register where you can verify the company, its status, its director and its registered address before signing anything.

Both companies share a registered office at 18 Sichovykh Striltsiv Street, Ivano-Frankivsk, 76018, Ukraine.

3. What this website is

This website describes our services and invites you to contact us. Nothing on it is a binding quotation, a guarantee of availability, or a commitment to a price or a delivery date. Figures published here describe past work and our own systems; they are not a promise of the same result for you.

4. How an engagement is formed

  • You describe what you need, by email or through our Upwork agency.
  • We reply with questions, a proposed approach and an estimate.
  • An engagement begins only when both sides sign a services agreement, or accept a statement of work or an Upwork contract that refers to one. Until then either side may walk away with nothing owed.

5. Fees and payment

Rates, currency, invoicing frequency and payment terms are set in the signed agreement or the Upwork contract, not here. Where work is charged by time, we invoice against hours recorded in our own time-tracking system, or against the Upwork Work Diary for Upwork contracts, and those records are available to you.

6. Intellectual property

Unless the signed agreement says otherwise, all intellectual property rights in the work product we deliver transfer to you on payment. Every specialist working through us has already assigned their rights in that work product to the company, so the chain of ownership from the person writing the code to you is complete. Anything we owned or licensed before the engagement, and anything of general application we build for reuse, stays ours; you receive a licence to use it as part of the deliverable.

7. Confidentiality

We treat what you share as confidential and sign a non-disclosure agreement before receiving access to your systems or materials when you ask for one. Our own contracts bind every specialist to equivalent obligations.

8. Warranties and liability

We provide the services with reasonable skill and care. Beyond that, and to the extent the law allows, we give no implied warranties, and we are not liable for indirect or consequential loss, lost profit, or loss of data that a reasonable backup regime would have prevented. Any cap on liability is the one written in the signed agreement. Nothing here excludes liability that cannot lawfully be excluded.

9. Governing law

Unless the signed agreement says otherwise, these terms are governed by the law of Ukraine, and the courts of Ukraine have jurisdiction. Where an agreement with an international client names a different governing law or dispute mechanism, that agreement prevails over this page.

10. Changes

We may update this page. The version that applies to an engagement is the one in force when the agreement for it was signed. This version was published on 4 September 2026.
